" CITY SECRETARY CONTRACT NO. 46228-A1 AMENDMENT NO. 1 TO CITY SECRETARY CONTRACT NO. 46228 This Amendment is entered into by and between the City of Fort Worth ("City"), a home rule municipal corporation situated in portions of Tarrant, Denton, Parker and Wise Counties, Texas and Animal Hospital of Southwest Fort Worth, Inc. (hereafter "Contractor"), a Texas corporation acting by and through Michael L. Morris, its duly authorized President. WHEREAS, the parties have previously entered into City of Fort Worth City Secretary Contract No. 46228 (the "Contract") for veterinary services, which was executed on December 5, 2014; and WHEREAS Animal Hospital of Southwest Fort Worth, Inc. wishes to terminate the contract in accordance with Article 4 of the Contract; and WHEREAS, Contractor has utilized the services of independent subcontractors to provide veterinary services to the City in performance of the Contract; and WHEREAS the parties agree that engaging the services of a new Contractor to provide veterinary services at the shelter is challenging within the allowable 30-day timeline for termination and that there is limited availability of licensed veterinarians in the local market of the Contract; and WHEREAS, in order to provide a more seamless transition and to avoid disruptions in the provision of veterinary services for animals at the shelter it will be necessary for the City to retain, by contract, subcontract, employment or other means, some or all of the Contractor's veterinarians to continue to provide services at the shelter; WHEREAS, Article 14 of the Contract has provisions for the "non-solicitation of employees" of either party during the term and for one year after termination of the contract which will impair the ability of the City to provide ongoing veterinary services to animals at the shelter. In order to avoid service disruptions the parties wish to delete Article 14; NOW, THEREFORE, City and Contractor, acting herein by the through their duly authorized representatives, enter into the following agreement to amend the Contract: 1. The City and Contractor agree to amend City Secretary Contract No. 46228 to delete in its entirety Article 14 on page 6 of the Contract effective retroactively to August 10, 2015.
