SPI shall at all times maintain Technology Liability Errors and Omissions insurance coverage and provides minimum liability coverage of Five Million Dollars ($5,000,000.00) per claim and Five Million Dollars ($5,000,000.00) aggregate. Coverage shall address technology-related liability exposure including,but not be limited to,the following: (i) failure to prevent unauthorized access; (ii) unauthorized disclosure of information;(iii)implantation of malicious code or computer virus; and (iv) fraud and dishonest or intentional acts with final adjudication language. Coverage shall be written on a claims-made basis and maintained for the duration of the contractual agreement and for five (5) years following completion of services provided. Technology coverage may be provided through an endorsement to a Commercial General Liability (CGL) policy, or through maintenance of a separate policy specific to Technology E&O;either form of coverage is acceptable if all other requirements are met. An annual certificate of insurance shall be submitted to Client to evidence coverage. 16. Other. This is the entire Agreement between the parties, including any attached addenda and the Service Application,with respect to its subject matter, and any previous or contemporaneous understanding is merged herein. This Agreement may not be amended or modified except in a writing that is signed by both parties.Email exchanges between the parties do not constitute an amendment to the Agreement.Captions are included for convenience only and have no substantive significance. 17. Survival. The provisions of Sections 2,3,4, 5, 7, 8, 11 and 16 of this Agreement shall survive termination or expiration of this Agreement OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX City of Fort Worth CF-MI 9 14 10.doc Schedule A CONVENIENCE FEE SERVICE 1. Service Description.SPI will host the Service on its server. A. Payment Acceptance:Client may receive customer payments("Customer Payments")in U.S.funds(no foreign exchange provided)via the Service through: ® Customers'credit/debit cards("Speedpay Credit Card Payment").Credit cards accepted are Visa and MasterCard. ® Debits to Customers' bank accounts through transfers using Customer's on-line debit cards without personal identification number entry or verification ("On-line PIN-less Debit"). The parties acknowledge that the use and availability of On-line PIN-less Debit is subject to the rules and regulations of applicable debit card networks(as in effect from time to time,the"Network Rules"),including,but not limited to,daily transaction limits. ❑ Debits to Customers'bank accounts through an automated clearing house("ACH")electronic transfer(a"Speedpay ACH"). SPI will create and submit file to the Originating Depository Financial Institution("ODFI")for processing,prepare and send confirmation letters and will be responsible for ODFI fees. B. Payment Entry: Client may receive Customer Payments for processing into a U.S.account using the Service through: ® an Internet-based system operated by SPI and accessed directly by Customers via a website hosted and operated by SPI(the"Speedpay Website"). The Speedpay Website pages relating to Client shall be developed and displayed in accordance with the mutual agreement of the parties. ❑ an Internet-based system operated by SPI and accessed by Client employees on behalf of Customers via a secure website (the "Speedpay Extranet Service")for the purpose of inputting Customer Payment information when such Customer requests that a Customer Payment be made. ® an interactive voice response("IVR")system operated by SPI and accessible by Customers(the"Speedpay IVR Service"). 2. SPI Responsibilities. A. Resources.SPI will provide,as applicable,the materials and services("Resources")necessary to process Customer Payments through the Service,except for the minimum requirements set forth in paragraph 3A of this Schedule which are Client's responsibility. SPI shall use commercially reasonable efforts to ensure that the Resources will accurately and correctly perform the functions required to make Customer Payments using the Service. B. IVR. For the Speedpay IVR Service,SPI will(i)make available a toll free(800 or similar)telephone number to access the Speedpay IVR Service,(ii)provide IVR equipment and software,as necessary to allow Customers to input their account number,payment amount and credit card or checking account information through the Speedpay IVR Service;and(iii)maintain the IVR unit. C. Transit numbers. SPI shall maintain an updated national database of all ABA/Transit numbers for banks and bank verification throughout the country as necessary to provide the Service. D. Card Association Charges. SPI shall submit all Speedpay Credit Card Payments and On-line PIN-less Debit payments to third party credit card networks and debit card networks. SPI shall be responsible for paying all merchant processing costs and fees associated with Speedpay Credit Card Payments and On-line PIN-less Debit payments. E. Downtime.SPI reserves the period from 12:01 AM through 6:01 AM EST on Sundays for maintenance,repairs,inspections,modifications and improvements to the Service,during which period the Service may not be available.Downtime is subject to change. 3. Client Responsibilities. A. Hardware and Software Requirements. Client's browser must be Internet Explorer 5.5,Service Pack 2 and above OR Netscape 4.7.2 or above. Microsoft VM (Virtual Machine) for Java must be installed if using Internet Explorer (VM usually downloads automatically when IE is downloaded). SPI will not be responsible if Client's systems do not meet these requirements. B. System Access/Posting Charges. All charges with respect to accessing or posting to Client's servicing system are Client's sole responsibility. Client is also responsible for all credits,ACH returns,On-line PIN-less Debit disputes,credit card chargebacks and the accuracy and authenticity of all data provided to SPI. C. Intentionally Deleted. D. No monetary preference. Client will not in any way,directly or indirectly,provide any preference,whether monetary or otherwise,between Customer payments by credit card,check or any other form of non-credit card payment originated in similar manner for these Services. E. Customer Relationship:Credits. Client is responsible for all relationships with all Customers,including without limitation,delivery of all communications and disclosures to Customers,unless specifically provided by SPI as indicated herein. Client shall respond to and resolve Customer inquiries and complaints. Client shall maintain complete and accurate records of inquires and complaints from Customers arising out of the Service, including the manner of disposition or resolution thereof,and shall promptly notify SPI in writing of such complaints and provide SPI with any information reasonably requested by SPI related to the disposition or resolution of such complaints. F. Password Protection. SPI may provide Client user name(s)and/or password(s)in order for Client's employees to access and use the Speedpay Extranet Service. Client is solely responsible for maintaining the confidentiality of all such user names and passwords,and is fully responsible for all activities that occur under Client's user names and passwords. Client may not disclose such user name(s)or passwords to any third party. Client agrees to immediately notify SPI of any unauthorized use of Client's user names or passwords or any other breach of security. SPI is not responsible for any loss to Client that arises from such use or action or from Client's failure to comply with these provisions. G. Intentionally Deleted. H. Promotion of the Service. Client is responsible for promoting the Service to their Customers within 90 days of the date the Service is live. Client agrees to promote the Service at least twice yearly by either:including the Speedpay IVR phone number and/or website address on Customer billing statements collection notices,and/or payment envelopes,including a Speedpay bill stuffer with Customer bills, placing promotional signage in service centers, or advertising the Service through other means Client deems reasonable upon the approval of SPI. I. Miscellaneous. Client represents and warrants that all sums owed by Customers must be bona fide,just and lawfully due and owing. Client has all necessary licenses and authorities to conduct its business and lawfully collect the sums from the Customers. 4. A. Merchant Processor&ODFI Election.For Speedpay Credit Card Payments,the parties agree that that the Client will use its own merchant processor.For On-line PIN-less Debit payments,SPI will use its own relationship with debit processing networks to debit Customer's accounts for On-line PIN-less Debit payments. On-line PIN-less Debit payment funds will be held temporarily in SPI,and where applicable(as determined from time to time by SPI in its sole discretion)Western Union Financial Services,Inc.accounts,and then swept into the Client's designated bank account. B. Process. SPI shall provide to Client a posting file and a separate reversal file each business day for all payments entered and scheduled for processing since the last processing cycle(usually the same time the prior business day). 1. The"Posting File"contains information on that processing day's principal payment amounts and typically includes: (i) information on the Customer receiving credit for the payment, (ii)the credit account number(the Client's account number); (iii)payment amount; (iv) effective date, and (v) any additional information required to post the payment to the Client's accounts receivable system. 2. The "Reversal File"contains information on that day's principal payment amounts that have been returned for any reason,including NSF(insufficient funds),charge back,account closed,etc,and includes information on the Customer who originally received credit for the payment,including:(i)the credit City of Fort Worth CF-MI 9 14 10.doc account number(Client's account number);(ii)amount;(iii)effective date,and(iv)any additional information required to reverse the payment from the Client's accounts receivable system. The transactions in both of these files can either be: ® Segregated into multiple files based on"Payment T}pe"(Credit Card,ACH,Debit Cards);or ® Annotated to indicate the type of payment. SPI will submit payments included in the Posting File to the merchant,or credit/debit processing network(as applicable)to request the debit of the Customer's account in the amount of the principal amount plus any applicable Convenience Fee.The total dollar value of these charges/debits is referred to as the"Payment Total" for the particular transaction type(i.e., payment total for credit cards). The"Payment Total"amount less the aggregate dollar amount of any Convenience Fees will be the"Client Total". C. Settlement to Client/Payment of Convenience Fees. 1.On-line PIN-less Debit: SPI shall credit the"Client Total"using an ACH credit to the account designated by the Client for On-line PIN-less Debit payments. This amount will equal the sum of the principal payment amounts included in the Posting file for the same processing day minus all disputed/return items identified since the last processing cycle. 2. Sueedpay Credit Card Payments. The Payment Total shall be deposited into SPI's designated account by the Client's merchant processor and the Client's merchant processor shall debit SPI's account for any chargebacks of the Payment Total. SPI shall credit the Client Total using an ACH credit to the account designated by the Client equal to the sum of the principal payment amounts included in the Posting file for the same processing day minus all chargebacks items identified since the last processing cycle. 5. Customer Payments and Fees.In consideration of the Service,SPI will charge Customers a Convenience Fee for use of the Service,which fee will be determined by SPI in its sole discretion and collected from the Customer.Customer will be advised of this fee and the specific dollar amount and be given the option of accepting or rejecting this Convenience Fee and the attendant Service.Except as otherwise set forth herein,SPI will pay Client,on a monthly basis,the"Client Fees*",as set forth below and in effect from time to time,for each successful SPI payment transaction("Transaction")initiated by a Customer.A successful Transaction is defined as any Transaction that is processed or settled and not subsequently returned and reversed.Client Fees are in compensation for services performed by Client such as referrals and promotion of the product, administrative services such as operation of the customer service call centers, staffing, provision of systems, hardware, phone lines, and the Client Site, as applicable, associated with making the Service available to Client's Customers. No fee will be assessed to the Client for this Service unless Client opts to waive the Convenience Fee paid by the Customer to SPI. In such case,Client shall pay SPI directly for the Convenience Fee less any Client Fee("Net Fee"). When Client waives the Convenience Fee,SPI shall not be responsible for paying the Client Fee to Client for the waived Transactions. SPI shall determine the number of Transactions that have been waived by Client during each calendar month and shall deduct such amount from the monthly Client Fees paid to Client. In accordance with its anti-money laundering,anti-fraud,and other compliance policies and practices,SPI may impose reasonable limitations and controls on a person's ability to utilize the Service. Such limitations may include but are not limited to payment velocity controls, as well as, where good cause exists, rejecting payments,or restricting particular individuals from using the Service. Colors: Color representation of the logo must be consistent with the image portrayed above. Consistently accurate color is achieved in print by using the Panton®Matching System or PMS. DISCUSSION: The Municipal Court Services Department has been exploring alternative payment options to allow defendants to pay their fines and fees without having to come to a City office. The current case management system does not offer an on-line payment interface, and the Department has enlisted private vendors to provide additional payment alternatives. The Department began using the Western Union Quick Collect (Quick Collect) payment option in November 2008. Quick Collect is a no-cost solution for the Department to accept guaranteed payments for civil parking and adjudicated criminal citations at select Western Union payment locations, over the internet, and through the Western Union call center. The defendant using this service will pay a convenience fee that is based on the dollar amount of the payment and that can be as high as $19.95 per transaction. This solution requires City staff to manually input the payment information and/or cancellation of active warrants in the CourtView Case Management System (CourtView) upon payment confirmation through the Western Union payment terminal. Although this process does require staff time, this service offers defendants a more convenient option to make payments and has the potential to reduce the volume of walk-in and mail payments. The Quick Collect solution has proven to be beneficial for the Department and defendants on warrant cases because guaranteed funds are required for an arrest warrant to be cancelled. However, the Quick Collect option does not provide the Department with the ability to accept payments for non-adjudicated criminal cases because the system cannot be customized to include legal admonishments that are required when accepting payment electronically. Western Union provides another service called Speedpay that staff believes will address the shortcomings of Quick Collect. With Speedpay the Department will be able to customize a webpage that will include the required legal admonishments to allow for payment of non-adjudicated cases. Defendants will also be able to use this option for making a payment on adjudicated and parking cases. The Speedpay service is also provided at no cost to the City and offers defendants a flat-rate convenience fee of$6.95, a dollar of which will be paid by Western Union to the City as a marketing incentive. The Department will continue to offer the Quick Collect option because it allows funds to be guaranteed at the point of payment so that warrants can be cancelled. The Speedpay process will take two-three days to confirm payment because the processing system varies due to the customization. Limiting expenditures in this way will help to maximize the financial resources reserved in the Court Technology Special Trust Fund for required projects and a new system, which will include an e-payment system interface. UAT time depends on the project at hand, but the standard is 5– 10 business days. • Delays due to contractual issues or resource availability may impact a project dates. Project Questions or Concerns Outside of Project Meetings:Questions arising outside project meetings may affect an individual or the entire team. The method of communication for answering such question is informal, and as such email or telephone conversations can be used. Appendix E: Change Control Policy Change Control windows are times during which changes to the Production Environment are made. The Change Control windows are subject to availability and your Western Union Project Manger will assist you in assessing the level of risk associated with a particular change as well as scheduling the change. We will not make any firewall changes on the 1 st, 15th, 16th, 30th, or 31 st. Only valid public source IP addresses can be added to our firewalls. Private IP addresses are not routable over the internet and therefore we cannot accept them as valid source IPs to be put into our firewalls.
