WHEREAS, on July 14, 1998, the City of Fort Worth, the "City," and Multatech Engineering,
Inc., the "Engineer," made and entered into City Secretary Contract No. 24223, which was duly
authorized by the City Council by M&C C-16891 on July 14, 1998, and
WHEREAS, the "City" and "Engineer" desire to amend City Secretary Contract No. 24223.
NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS:
That the City of Fort Worth, a municipal corporation situated in Tarrant County, Texas, acting
herein by and through its duly authorized City Manager, hereinafter called "City," and Multatech
Engineering, Inc., acting herein by and through its duly authorized President, hereinafter called
"Engineer," hereby make and enter into the following agreement:
ARTICLE VII —ATTACHMENTS, SCHEDULES AND SIGNATURES
A. Exhibit "A-1"— Supplemental Scope of Services, pages A-1-1 through A-1-8, is hereby
amended to expand the scope of services from one 5.0 MW engine/generator to two 5.2
MW turbine/generators.
1. Task 3 Detailed Construction Plans and Bid Specification Phase—revise
paragraphs 3.07, 3.08 and 3.09 as follows:
"3.07 Turbine/Generators, High Pressure Gas Compressors and Hot Oil Heat
Recovery Units Installation Structural Plans and Details.
3.08 Turbine/Generators, High Pressure Gas Compressors and Hot Oil Heat
Recovery Units Mechanical/Piping Plans and Details.

2. Task 4 Bidding and Negotiation Phase—add new paragraph as follows:
"4.05 Assist CITY in applying for renewable energy credits and renewable
energy bids to TXU.
4.06 Assist CITY in evaluating alternate financing and privitizing options."
3. Task 5 Construction Administration Phase—add new scope items as follows:
"5.01 Provide on-site Construction Administration including provision of a part-
time Resident Engineer and a part-time Resident Clerk as needed for
observation and coordination of project conformance with the Contract
Documents.
5.02 Coordinate with the CITY the performance of laboratory testing and field
observations as required for the construction of the PROJECT. Review
test reports, bring failed tests to the attention of the CITY, and recommend
corrective actions.
5.03 Mobilization: Field Office will be provided by the CITY. Resident
Engineer will establish office in facilities.
5.04 Project Technical Coordination: Provide consultation with CITY and
Contractor representative on questions associated with work. Monitor
construction reports and PROJECT documentation. Coordinate with
CITY on construction related details and Contractor's schedule. Perform
schedule preparation and updates for proper coordination with Contractor
and plant operator. Serve as liaison between the Contractor, plant staff,
and other construction projects being performed at the site.
5.05 Project Documentation and Tracking: Maintain detailed records of the
PROJECT, including log, correspondence, schedules, shop drawings,
record data, payments, change orders, and copies of meeting minutes.
Establish and maintain system for tracking Contractor's submittals in
accordance with the Contract Documents. Monitor preparation of As-
Built record drawings by Contractor. Maintain up-to-date modifications to
the contract documents. Document all changes in PROJECT from
contract documents and maintain records of approved shop drawings,
equipment operations, and maintenance manuals.
5.06 Contract Compliance: Investigate and respond to formal requests for
clarifications and interpretations of the Contract Documents other than
those related to design aspects of the PROJECT. Comply with State
Revolving Fund Requirements.

5.07 Project Coordination Meetings: Conduct a pre-construction conference
with the CITY and Contractor to establish procedures for the
administration of the contract and coordination between parties. After the
pre-construction conference, establish and conduct project coordination
meetings with the CITY and Contractor. Minutes of these meetings will
be prepared by the Contractor and distributed to all parties.
Meet on a regular basis or as needed with the CITY to discuss items of
interest and to keep the CITY apprised of the status of the PROJECT.
Conduct tours of the PROJECT for CITY and visitors.
Conduct meetings with CITY'S Resident Project Representative to
coordinate the observation of the PROJECT. Keep the Resident Project
Representative aware of the overall status of the PROJECT. Maintain
guidelines for observation procedures and monitoring of construction
quality.
Meet with the CITY and/or Contractor and their designated
representatives as needed to resolve questions or problems associated with
the work.
5.08 Progress Payments: Review and recommend CITY action on Contractor
progress payments in accordance with the Contract Documents. Monitor
the actual progress of the work and cash flow. Meet bi-weekly with the
Contractor to review and update actual status of cost and time.
5.09 Contractor's Submittals: Review construction Contractor's submittals,
including shop drawings and manufacturers' operations and maintenance
manuals in accordance with Contract Documents. Submittal review will
consist of the initial review and one resubmittal review. Submittal reviews
in excess of two will be performed under ARTICLE III Special Services.
5.10 Provide assistance with the startup and initial operation of processes.
Detailed operation and maintenance manuals and startup and maintenance
of each item of equipment or treatment system will be provided by the
Contractor as part of his contract for construction. Manuals will be
reviewed as part of the submittal review process to see that the specified
literature is provided.
5.11 Project Management: The ENGINEER'S Project Officer will supervise
and assign office engineering staff and review schedules for services,
scope, and budget. Prepare correspondence or any required progress
reports related to authorized tasks or engineering services.
5.12 Quality Control/Quality Assurance: Provide a periodic review of
PROJECT files to see that documentation is properly maintained and up-
to-date. Review records of modifications to the Contract Documents to

see that known deviations from the Contract Documents are properly
documented and approved as appropriate.
5.13 Site Visits: Project Management is to visit PROJECT site regularly during
construction to review Contractor's progress and the quality of the work
and to attempt to determine in general if the work is proceeding in general
conformance with the Contract Documents. Attend project coordination
meetings and consult with the Resident Engineer and Resident Project
Representatives and/or Contractor as required to provide interpretation of
the intent of the Contract Documents.
In performing these services, the ENGINEER will endeavor to protect the
CITY against defects and deficiencies in the work of Contractors; the
ENGINEER will report any observed defects or deficiencies immediately
to the CITY; however, it is understood that the ENGINEER does not
guarantee the Contractor's performance nor is the ENGINEER responsible
for supervision of the Contractor's operation and employees. ENGINEER
shall not be responsible for the means, methods, techniques, sequences or
procedures of construction selected by Contractor or the safety precautions
and programs incident to the work of the Contractor. ENGINEER shall
not be responsible for the acts or omissions of any person (except his own
employees and agents) at the PROJECT site or otherwise performing any
of the work of the PROJECT.
5.14 Completion: Manage the substantial and final completion activities.
Jointly with the CITY and the Contractor, conduct the substantial
completion and final completion inspection. Prepare and issue the punch
list of incomplete work to Contractor upon substantial completion.
Recommend to CITY the dates of substantial completion and final
completion. Obtain required manuals, guarantees, record drawings, and
other documentation from the Contractor and deliver to the CITY.
5.15 Prepare record drawings from information submitted by the Contractor for
the following projects:
DIGESTER HEATING AND AERATION SYSTEM UPGRADE
DIGESTER GAS SYSTEM IMPROVEMENTS
DIGESTER GAS FUELED TURBINE/GENERATORS
5.16 Update Plant O&M Manual as to the operation and maintenance of
equipment and associated processes for the following projects.

4. Task 7 Turbine Waste Heat Recovery Economic Feasibility Study - add new
scope items as follows:
"7.01 Investigate and evaluate sludge drying equipment technology.
7.02 Prepare concept plans and specification for installation of sludge drying
facility at Village Creek Wastewater Treatment Plant.
7.03 Prepare and analyze capital and operating costs associated with sludge
drying facility. Include heat recovery benefit from new gas turbines.
7.04 Prepare economic analysis with return on investment and estimate sludge
drying and disposal costs and potential water reclamation amounts.
7.05 Compare sludge drying facility to existing sludge dewatering contract.
7.06 Submit recommendations to CITY based on comparative results of
economic feasibility study."
B. Exhibit "A-2"—Air Permitting Scope of Work, pages 1-3 is hereby amended to expand
the scope of services as follows:
"Activity 9: Provide advice and assistance to the CITY and Multatech in meeting
monitoring requirements for gas turbine engines. These monitoring
requirements include monitoring of engine exhausts as well as fuel.
Activity 10: Prepare emission inventories to be submitted to the Texas Natural
Resource Conservation Commission (TNRCC) for calendar years 1997,
1998 and 1999 for the Village Creek Wastewater Treatment Plant.
Activity 11: Prepare emission credit application form (TNRCC Form ERC-1) for
Application for Certification of Emission Reduction Credits due to
replacing the Plant's internal combustion engines with gas turbine engines.
Activity 12: Prepared updated PI-8 Form for limiting emissions to "standby-only" for
the internal combustion engines at the time the gas turbine engines begin
operation.
Activity 13: Evaluate emission fees that will likely need to be paid by CITY when the
new gas turbine engines go into operation."
Activity 14: Assist in responding to TNRCC comments regarding Federal Operating
Permit application."
C. Attachment "B" Compensation is hereby amended by increasing the not-to-exceed fee by
Five Hundred Sixty-nine Thousand Nine Hundred Sixty-two Dollars ($569,962.00) so
that Paragraph "D" reads as follows:

"D. Payments for expenses, costs and services as described in Attachment "A",
Exhibit "A-1" and "A-2" shall not exceed One Million One Hundred Thirty-three
Thousand Five Hundred Seven Dollars ($1,133,507.00)."
D. Exhibit "A-1" dated "Rev. 03/07/00," revised in its entirety and attached.
E. Exhibit "A-2" dated "Rev. 03/07/00," revised in its entirety and attached.
F. Attachment "B" dated "Rev. 03/07/00,"revised in its entirety and attached.
G. Exhibit "B-1" is hereby amended to reflect the added scope of services fees and is
attached.

ENGINE/GENERATOR AT VILLAGE CREEK WASTEWATER TREATMENT PLANT
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute Amendment No. 2 to the
Engineering Agreement with Multatech Engineering, Inc. (City Secretary Contract No. 24223) for the
design of the Addition of a Digester Gas Fired Engine/Generator at Village Creek Wastewater
Treatment Plant, increasing the total contract cost by $569,962 from $563,545 to $1,133,507.
DISCUSSION:
On July 14, 1998 (M&C C-16891), the City Council authorized the execution of an engineering
agreement with Multatech Engineering, Inc. for the design for an Addition of a Digester Gas Fired
Engine/Generator at Village Creek Wastewater Treatment Plant. Using the methane gas produced by
the plant processes, the additional engine or turbine generators will be capable of generating
approximately 60% of the electrical power required by the plant. Currently the excess methane gas is
"flared."
Multatech Engineering, Inc. will provide the following work as part of the amendment:
1. Turbine Design - modify the construction plans to allow installation of two turbine generator units
instead of the two engine generator units initially proposed.
2. Construction Management Services - provide construction management services during the
construction phase of the project. This includes an on-site construction management team to
administer the contract, including a full-time resident engineer, and to provide project
management/administration, review of contractor's submittals and estimates, preparation of change
orders, record drawings, and O&M manuals.
3. Turbine Waste Heat Recovery Economic Feasibility Study - investigate and evaluate current sludge
drying technology and analyze the possible use of heat recovery from turbine units for a sludge
drying process.
4. Air Permitting - provide additional services for monitoring turbine units for air permit requirements
and prepare regulatory required emission credit applications, emission inventories and prepare
required applications to reduce existing engine generators to "stand-by" status.
Multatech Engineering, Inc. is in compliance with the City's M/WBE Ordinance by committing to an
additional 8% M/WBE participation on this amendment No. 2.
